Terms of Use

Jarvis · Effective: 1 October 2026 · Version 1

Jarvis is an AI document-analysis platform for professional firms. These Terms of Use govern your use of the Platform. Together with them we publish a Data Processing Addendum, a Security Annex, a Privacy Policy, a Sub-processor list, and a Support Policy, which describe how we process and protect information and how we support you. If you use the Platform through your firm's subscription, your use is also subject to your firm's policies and may be monitored by your firm.

Please read these Terms carefully before using the Platform.

By clicking "I agree" (or a similar button), or in any event by accessing or using the Platform, you confirm that you are entering into a legal agreement with Jarvis, and that you have understood and agree to be bound by these Terms and by the documents referenced in them, which are incorporated into this agreement by reference (together, the "Agreement"). If you do not agree, do not use the Platform. To the extent permitted by law, you waive any right to require a handwritten signature or the delivery or retention of non-electronic records.

If you accept the Agreement on behalf of an Organization, you represent that you have the authority to bind it, and "you" and "your" then refer to both the Organization and to you as a User.

The language of the Agreement is English. Jarvis may provide translations for convenience; if they differ, the English version prevails. To the extent permitted by law, you waive any requirement that the Agreement be provided in another language.

You confirm that you are at least eighteen (18) years old and of legal age to form a binding contract.

1. Definitions and interpretation

Capitalized terms have the meanings below or where they are first defined. Section headings are for convenience only and are not to be used for interpretation.

1.1 "Account" means Customer's account on the Platform, through which its Users access the Platform. Each Account has one Owner.

1.2 "Aggregated Usage Data" means data collected from the use of the Platform by multiple users, anonymized and aggregated so that it does not identify any person or Customer, such as usage patterns and performance metrics. Aggregated Usage Data is not Customer Data.

1.3 "Agent" means an AI agent, workflow, or configuration available on the Platform, including a Tailored Agent.

1.4 "AI" means artificial-intelligence models and systems, including generative AI.

1.5 "Customer" means the Organization that holds the Subscription, or, if the Subscription was obtained by an individual, that individual.

1.6 "Customer Data" means all documents, files, text, data, and other materials that Users upload, submit, or otherwise make available to the Platform, including User inputs and the Outputs generated from them.

1.7 "Data Processing Addendum" or "DPA" means the addendum published at dpa, as updated from time to time.

1.8 "Documentation" means guides, specifications, and other materials Jarvis provides for the Platform.

1.9 "Feedback" means suggestions, requests, corrections, or other feedback about the Platform given to Jarvis by Customer or its Users. Feedback is not Customer Data, and Customer Data included in Feedback remains Customer Data.

1.10 "Jarvis", "we", "us", or "Provider" means the operator of the Platform identified in the Order, or a company under the same ownership to which the Agreement is transferred under Section 25.

1.11 "Marks" means Jarvis's names, logos, trademarks, and other brand elements.

1.12 "Order" means the document, sent by Jarvis in writing (within the Platform or by email) and accepted by Customer within the Platform, by written reply, or by paying the first invoice issued under it, that sets out the Subscription plan, the number of Users, the fees, and any Professional Services.

1.13 "Organization" means the firm, company, or other legal entity that holds the Subscription.

1.14 "Output" means content the Platform generates from Customer Data.

1.15 "Owner" means the User who opened the Account on Customer's behalf and manages it, including by inviting and removing Users.

1.16 "Platform" means the Jarvis AI document-analysis service, owned and operated by Jarvis, including its Agents, applications, websites, cloud services, back end, System Data, Marks, and Documentation.

1.17 "Privacy Policy" means the policy published at privacy.

1.18 "Professional Services" means consulting, implementation, configuration, and training that Jarvis provides to Customer, including building Tailored Agents.

1.19 "Security Annex" means the annex published at security.

1.20 "Subscription" means the right granted to Customer and its authorized Users to access and use the Platform during the subscription term.

1.21 "System Data" means logs the Platform collects, such as access and security logs, excluding Customer Data.

1.22 "Tailored Agent" means an Agent that Jarvis builds or adapts for Customer under an Order.

1.23 "User" means any individual who uses the Platform under the Subscription.

2. Acceptance by every User

2.1 The Agreement is formed electronically. There is no separate signed contract and no customer-specific agreement. An Order sets only the plan, the number of Users, the fees, and any Professional Services; it applies these Terms and does not change them.

2.2 The Owner accepts the Agreement on Customer's behalf when opening the Account and confirms that they are authorized to bind Customer. Each User invited to the Account must then accept these Terms personally before first using the Platform. The Platform cannot be used without that acceptance. By accepting, the User agrees to the User obligations in Section 5 and confirms having read the Privacy Policy.

2.3 Jarvis records, for each acceptance, the User, the date and time, and the version of each document accepted, and provides the record to Customer on request.

2.4 If documents conflict, the DPA prevails on the processing of personal data, then these Terms, then an Order.

3. License and usage

3.1 Subject to the Agreement and to your compliance with it, Jarvis grants you a personal, revocable, non-exclusive, non-sublicensable, non-transferable license (the "License") to access and use the Platform, for your own professional use, during the Subscription term stated in the Order and in accordance with the Documentation. You receive no other right in the Platform or the Documentation, whether by implication, estoppel, operation of law, or otherwise. The Platform is licensed, not sold.

3.2 Reasonable use. The Subscription includes reasonable use consistent with the normal operation of a firm of Customer's size. Jarvis may set usage limits per plan, measured for example in documents, pages, or processing volume, and will notify Customer within the Platform before they apply. If Customer's use substantially exceeds reasonable use, Jarvis may offer a larger plan, charge for the excess at its then-current prices, or limit processing speed.

4. License restrictions

You will not, and will not allow any third party to: (i) sublicense, redistribute, sell, lease, lend, rent, or encumber the Platform; (ii) share credentials, or make the Platform available to persons who are not Users; (iii) disassemble, reverse engineer, decompile, or otherwise attempt to derive the source code, models, prompts, or internal workings of the Platform or its Agents; (iv) copy, modify, or create derivative works of the Platform; (v) circumvent, disable, or interfere with security features of the Platform or features that enforce limits on its use, or access data of another customer; (vi) remove or obscure proprietary notices on the Platform; (vii) use the Marks without Jarvis's prior written consent; (viii) use the Platform in violation of any law or for any unlawful, harmful, or inappropriate purpose, or in breach of the Agreement; (ix) use the Platform on a service-bureau, rental, or managed-services basis, or frame or mirror it; (x) use the Platform or its Outputs to build a competing product or service; (xi) use automated tools to scrape or extract content from the Platform; (xii) publish benchmarking results of the Platform without Jarvis's prior written consent; or (xiii) present an Output to any third party as solely human work, or as verified work when it has not been reviewed as required by Section 9.

5. Accounts and User obligations

5.1 The Owner opens the Account with accurate and complete information about Customer and invites Customer's chosen personnel as Users. Customer is solely responsible for all activity in its Account. Each User must keep their credentials secure, prevent unauthorized access, and notify Jarvis immediately of any unauthorized use.

5.2 Each User will: use only their own credentials; upload Customer Data only for matters they are authorized to handle, and only after Customer has obtained the consent described in Section 7; review and verify every Output as required by Section 9; and use the Platform in accordance with Section 4.

5.3 Customer, acting through the Owner, is responsible for deciding who becomes a User, for removing Users who leave, for the authorization of each User to handle the data they access, and for each User's compliance with the Agreement.

6. Ownership and intellectual property

6.1 Platform, Agents, Feedback, and Aggregated Usage Data. Jarvis and its licensors retain all right, title, and interest, including all intellectual property rights, in and to (i) the Platform, including every Agent and every Tailored Agent, with their tools, prompts, workflows, software, and the know-how used to build them; (ii) Feedback; and (iii) Aggregated Usage Data. Customer acquires no ownership in any Agent. Payment for Professional Services pays for the work of building and adapting, and does not transfer any rights.

6.2 Customer Data. Customer and its licensors retain all right, title, and interest, including intellectual property rights, in and to Customer Data. Materials Customer supplies for a Tailored Agent, such as its own templates and working instructions, remain Customer's confidential information.

6.3 Responsibility for Customer Data. Jarvis does not own, control, review, verify, or endorse Customer Data and has no obligation to do so. You are solely responsible for your Customer Data, including for keeping your own copies of it and for not doing anything illegal or harmful with it, including violating intellectual property, confidentiality, or privacy rights.

6.4 License to Customer Data. You grant Jarvis a non-exclusive, worldwide, royalty-free license to store, copy, process, analyze, display, and create derivative works of Customer Data, solely as necessary to operate, provide, customize, support, maintain, test, monitor, and secure the Platform and to provide Professional Services, for the benefit of Customer and its Users, during the term of the Agreement and any retention period under the DPA, and subject to the Agreement.

6.5 Right to use Tailored Agents. Customer may use each Tailored Agent built for it for as long as its Subscription is active. That right ends when the Subscription ends or the Platform is discontinued under Section 21. Tailored Agents cannot be exported or operated outside the Platform. Jarvis may offer any Agent, including a Tailored Agent, to other customers, but does not give other customers Customer Data, Outputs, or Customer's confidential materials.

7. Customer Data and consent

Consent is Customer's responsibility. Customer alone is responsible for having the lawful right to upload Customer Data, for giving the individuals concerned the notices required by law, and for obtaining their informed consent before upload. That consent must be specific to the use of an AI system and must describe the facts in Section 10, including processing outside Israel. A general clause permitting "use of AI" is not sufficient. Jarvis has no contact with those individuals, does not obtain their consent, and does not check whether it was given. By uploading a document, Customer confirms that the required consent exists. Customer will keep a record of each consent and provide it to Jarvis on request.

8. Artificial intelligence

8.1 AI features. The Platform uses AI, including generative AI, to analyze Customer Data and produce Outputs. Inputs and Outputs are Customer Data. You are responsible for them and will not use the AI features in a way that infringes, violates, or misappropriates the rights of Jarvis or any third party. Because of the nature of AI, Outputs may not be unique and the Platform may generate the same or similar Outputs for other customers. Outputs may be inaccurate, incomplete, outdated, factually wrong, misleading, biased, or offensive, and may contain invented facts or references or errors in reading scanned documents.

8.2 No training on Customer Data. Customer Data is not used to train AI models, by Jarvis or by its AI providers, except with Customer's prior written consent for models private to Customer.

9. No professional advice; human oversight

9.1 The Platform is designed to assist qualified professionals. It does not provide legal, medical, accounting, tax, or other professional advice, and its Outputs must not be treated as such. Using the Platform does not create a professional relationship between Jarvis and Customer's clients.

9.2 Verification is required. Customer's qualified professionals must review and verify each Output against the source documents before relying on it, passing it to a client, submitting it to a court or authority, or using it toward any third party. The citations the Platform provides support this review and do not replace it. No decision affecting an individual may be made on the basis of an Output alone.

9.3 Nothing in the Agreement reduces the professional or ethical duties of Customer or its Users.

10. Processing by AI providers; retention and review

The Platform analyzes documents using third-party AI providers listed in the Sub-processor list. Customer acknowledges and agrees that:

Full details are in the DPA.

11. Professional Services

11.1 Jarvis provides Professional Services as described in an Order, which states the scope, the hourly rate, and an estimate of hours.

11.2 Professional Services are charged by the hour at the rate in the Order. Chargeable time includes meetings, analysis and design, development, testing, and training. Each invoice states the hours worked. Jarvis will tell Customer before exceeding the estimate.

11.3 When Professional Services require Jarvis personnel to view Customer Data, access is limited to what the work requires and is governed by the DPA.

11.4 Professional Services concern the use and configuration of the Platform. They are not legal, medical, accounting, or tax advice. Ownership of Tailored Agents is governed by Section 6.

12. Fees and payment

12.1 Fees are stated in the Order and do not include VAT, which is added at the rate in force. Where the Order states fees in a foreign currency, Jarvis invoices in New Israeli Shekels at the Bank of Israel representative rate on the invoice date. Subscription fees are invoiced at the end of each month for that month. Professional Services are invoiced monthly for the hours worked. Jarvis issues a lawful Israeli tax invoice (חשבונית מס) for each payment.

12.2 Invoices are payable within 14 days of the invoice date. Late payment bears a late fee of one percent (1%) per month, or the maximum permitted by law if lower. Amounts due are not subject to set-off or deduction.

12.3 Fees are exclusive of taxes, duties, and similar charges, which are Customer's responsibility. If any withholding is required, Customer will pay an additional amount so that Jarvis receives the full amount due.

12.4 The License is subject to full payment of the fees due. Jarvis may suspend access if an invoice remains unpaid 14 days after a written reminder.

13. Data and privacy

13.1 Not an archive. The Platform is not an archive or data-storage service, and you agree not to rely on it as the only copy of any data. You are solely responsible for keeping your own copies of Customer Data.

13.2 Privacy. Jarvis uses personal information collected in connection with the Platform in accordance with the Privacy Policy and the DPA, which are incorporated into the Agreement by reference. You are not legally obliged to provide personal information to Jarvis and do so of your own free will. Information may also be stored on your device, whose security is your responsibility.

14. Security

Jarvis maintains the technical and organizational measures described in the Security Annex. Security is a fundamental term of the Agreement.

15. Warranty disclaimers

15.1 Except as expressly stated in the Agreement, the Platform, the Professional Services, and the Outputs are provided "as is" and "as available", without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising by statute, course of dealing, or usage of trade.

15.2 Jarvis does not warrant that the Platform will meet your requirements, operate without interruption or error, or that errors will be corrected. Jarvis is not responsible for consequences to you or any third party of technical problems, including security, privacy, performance, or connectivity issues, except as provided in the DPA.

15.3 Jarvis makes no warranty regarding Outputs, including their accuracy, completeness, or suitability for your use. Your use of Outputs is at your sole risk. You must not rely on the Platform as a single source of factual information or treat Outputs as professional advice. No information or advice, oral or written, obtained from Jarvis creates a warranty not expressly made in the Agreement.

15.4 The Platform is not designed or intended for use in mission-critical or high-risk applications, or in any environment in which a failure could cause significant damage, including use where an unverified Output could directly cause harm to a person. Any such use is outside the scope of the Agreement and is not authorized. The Platform is not designed with security and access management for the processing or storage of (a) classified data, or (b) data or software controlled under the International Traffic in Arms Regulations ("ITAR") or similar export-control laws (together, "Excluded Data"). You are solely responsible for ensuring that Customer Data does not contain Excluded Data.

16. Limitation of liability

16.1 To the maximum extent permitted by law, Jarvis will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of data, systems, software, networks, revenue, profits, value, sales, savings, business, or reputation, or for downtime, arising under or in connection with the Agreement or from the use of or inability to use the Platform, under any theory of liability, even if advised of the possibility of such damages. Jarvis is not liable for loss arising from reliance on an Output that was not verified as required by Section 9.

16.2 In any event, Jarvis's total aggregate liability for all damages and losses arising under or in connection with the Agreement, or from the use of or inability to use the Platform, will not exceed the total amounts actually paid by Customer to Jarvis in the twelve (12) months preceding the event giving rise to the claim.

17. Adjustment to applicable law

If applicable law prohibits any disclaimer, limitation, or obligation in the Agreement, that provision is deemed modified only to the extent required to comply with the law, and the remainder of the Agreement is unaffected.

18. Indemnity

You will defend, indemnify, and hold harmless Jarvis, its affiliates, and their respective owners, officers, employees, and agents from and against all claims, damages, obligations, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from: (i) Customer Data, or its upload without the notice or consent required by Section 7; (ii) the use of the Platform or Outputs by you or your Users, including reliance on an unverified Output; (iii) your breach of the Agreement; or (iv) your violation of any third-party right, including copyright, property, privacy, or confidentiality. Jarvis may, at your expense, assume the defense and control of any matter subject to indemnification if you do not defend or settle it. You will not settle any such matter without Jarvis's prior written approval.

19. Export compliance

You will comply with all applicable export and import laws in performing the Agreement. You represent that you are not listed on any government list of prohibited or restricted parties and are not located in, or a national of, a country subject to an embargo. You will not use the Platform for activities related to weapons of mass destruction or other activities controlled under export-control laws.

20. Updates, support, third-party components, and beta features

20.1 Updates. Jarvis may provide updates and upgrades to the Platform, but is not obliged to. Updates may be applied automatically without notice, and the Agreement governs them.

20.2 Support. Jarvis provides support as described in the Support Policy, which forms part of the Agreement, and uses reasonable efforts to respond and to keep the Platform available. Jarvis is not obliged to resolve every issue, and no service credits or refunds are due for unavailability. Building or adapting a Tailored Agent is Professional Services under Section 11, not support.

20.3 Third-party components. The Platform may include third-party or open-source components subject to their own terms. Where those terms conflict with the Agreement, they prevail for the component concerned. Third-party components are provided "as is", and Jarvis has no liability for claims arising from them.

20.4 Third-party links. Links to third-party websites, products, or services are provided for convenience and are subject to the third party's terms. Jarvis is not responsible for them.

20.5 Beta features. Jarvis may release features marked "beta", "preview", "early access", or similar. They may be less reliable and less tested than the rest of the Platform, and you use them at your own risk.

21. Term and termination

21.1 The Agreement is effective until terminated as set out below. The Subscription runs month to month.

21.2 By Jarvis. Jarvis may (i) discontinue or modify any aspect of the Platform, and (ii) terminate the Agreement with 30 days' notice, or immediately if you materially breach the Agreement and do not cure the breach within 14 days of notice. Jarvis is not liable for the foregoing, except that on termination without cause Jarvis refunds subscription fees paid for the period after termination. Fees for Professional Services already performed are not refunded.

21.3 Discontinuing the Platform. Jarvis may discontinue the Platform, in whole or in part, with at least 60 days' notice. During the notice period Jarvis will help Customer export its Customer Data and Outputs. Access to the Platform and to all Agents ends on the discontinuation date.

21.4 By Customer. Customer may terminate (i) if Jarvis materially breaches the Agreement and does not cure the breach within 14 days of written notice; (ii) if it objects to a change under Section 24, before the change takes effect; or (iii) at any time without cause, with effect from the end of the current billing month. Fees for the current billing month remain payable.

21.5 Effect. On termination the License ends, access is disabled, and Customer must stop using the Platform. Customer may export its Customer Data and Outputs for 30 days, after which Jarvis deletes Customer Data as set out in the DPA. Sections that by their nature should survive termination, including Sections 6, 15 to 18, 23, and 26 to 29, survive.

22. Suspension

If Jarvis reasonably believes that you are using the Platform in a way that may cause harm to Jarvis, to another customer, or to any third party, Jarvis may suspend your access, without prejudice to its right to terminate, until it reasonably believes the threat or harm has passed, and will notify Customer.

23. Confidentiality

23.1 Customer Data. Jarvis keeps Customer Data confidential and uses it solely as the Agreement permits. Jarvis personnel with access to Customer Data are bound by written confidentiality undertakings.

23.2 Business information. Each party may retain information about the other as needed for its legitimate business purposes, including legal, support, technical, security, commercial, and financial records. Such information must be kept confidential with at least the care the party applies to its own confidential information, and used only to perform the Agreement.

23.3 Publication of relationship. Customer may disclose the existence of the relationship, but not its terms or fees. Jarvis may name Customer as a customer only with Customer's prior written consent.

24. Changes to the Agreement

24.1 Jarvis may update the Agreement and the documents incorporated in it. Each version has its own number and address (for example, terms/v1), and earlier versions remain available at their address.

24.2 Jarvis gives at least 14 days' notice within the Platform of a material change. Each User must accept the new version to continue using the Platform after it takes effect. Customer may terminate before the effective date if it does not agree. Continued use after the effective date is acceptance of non-material changes.

25. Assignment

You may not assign or transfer the Agreement or the License; any attempt to do so is void. Jarvis may assign the Agreement without restriction, including to a company under the same ownership, and in that case will notify Customer of the assignee's name and the date of transfer. From that date the assignee is the party to the Agreement and issues the invoices; Customer's rights and the terms do not change.

26. Governing law, jurisdiction, and informal resolution

The Agreement is governed by the laws of the State of Israel, without regard to conflict-of-laws rules. Any dispute arising from the Platform or the Agreement is subject to the exclusive jurisdiction of the competent courts of Tel Aviv–Jaffa. Before commencing proceedings, you must send a written notice of dispute to michael@jarvis-agents.com stating your name, contact details, the facts, and the relief sought. The parties will try to resolve the dispute informally for thirty (30) days from the notice; after that, either party may commence proceedings.

27. No class actions; time limit

You may bring claims against Jarvis only in your individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative action. Any claim arising out of or related to the Platform must be commenced within one (1) year after it accrues; otherwise it is permanently barred.

28. General

The Agreement, including each accepted Order, is the entire agreement between you and Jarvis concerning the Platform. If a provision is held invalid, the remaining provisions remain in force. A waiver of any term is not a continuing waiver, and a failure to assert a right is not a waiver of it. You agree that monetary damages would be an inadequate remedy for a breach or threatened breach of Sections 4, 6, or 23, and that Jarvis is entitled to injunctive relief and specific performance without posting a bond, in addition to any other remedy. Jarvis's rights and remedies are cumulative.

29. Contact

Questions about the Agreement: michael@jarvis-agents.com. Notices to Customer are sent within the Platform or to the Owner's email address.

You acknowledge that you have read the Agreement and understand the rights, obligations, terms, and conditions set out in it. By using the Platform you expressly agree to be bound by it. If you do not agree, do not use the Platform.
